By accessing or using any product, service, platform, or website operated by Vantage Point Strategy Group LLC ("VPSG," "we," "us," or "our"), including the VPSG Benefits Reconciliation Intelligence™ (BRI™) platform, the VPSG Client Portal, the public website, and any associated tools or reports, you ("User," "Client," or "you") agree to be bound by these Terms of Service ("Terms").
If you do not agree to these Terms, you may not access or use any VPSG service. By completing a purchase, activating an account, or submitting a form through any VPSG platform, you confirm your agreement to these Terms.
VPSG offers the following products and services:
ALL VPSG PRODUCTS, OUTPUTS, REPORTS, FINDINGS, SCORES, RECOMMENDATIONS, AND ADVISORY SERVICES ARE INFORMATIONAL IN NATURE ONLY AND DO NOT CONSTITUTE LEGAL, FINANCIAL, TAX, ACTUARIAL, INSURANCE, COMPLIANCE, OR PROFESSIONAL ADVICE OF ANY KIND.
VPSG is a strategic advisory and technology firm. VPSG is not a law firm, CPA firm, licensed insurance advisor, licensed financial advisor, actuary, or regulated compliance authority. Users are solely responsible for all decisions made on the basis of VPSG outputs and recommendations. Users should consult qualified licensed professionals for legal, tax, financial, or compliance matters.
VPSG services are intended for business use by benefits professionals, HR administrators, benefits brokers, and organizational leadership. By creating an account or purchasing a service, you represent that you are at least 18 years of age, have the authority to bind your organization to these Terms, and have obtained all necessary authorizations to upload any data provided to VPSG.
Fees for VPSG services are as posted on the VPSG website or as agreed in a signed engagement letter. All fees are due at time of purchase unless otherwise agreed in writing. Fees are non-refundable except as required by applicable law or as expressly stated in a signed agreement. VPSG uses Stripe for payment processing. By making a payment, you agree to Stripe's terms of service in addition to these Terms.
All VPSG technology, platforms, methodologies, frameworks, scoring models, diagnostic engines, reports, templates, documentation, and visual content are the exclusive intellectual property of Vantage Point Strategy Group LLC. The following are trademarks and service marks of VPSG:
No VPSG trademark, service mark, logo, or proprietary content may be used without prior written authorization. Users receive a limited, non-exclusive, non-transferable license to use VPSG outputs solely for their own internal business purposes.
Your use of VPSG services is also governed by our Privacy Policy, available at vantagepointstrategygroup.com/privacy. By using VPSG services, you consent to the collection and processing of information as described in the Privacy Policy. All employee data and sensitive organizational information uploaded to VPSG platforms is processed solely for service delivery purposes and is never sold or shared with third parties.
You agree not to:
VPSG SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. VPSG DOES NOT WARRANT THAT SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT RESULTS WILL BE ACCURATE IN ALL CIRCUMSTANCES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VPSG'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR ANY VPSG SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO VPSG IN THE THREE (3) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL VPSG BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, REGARDLESS OF THE THEORY OF LIABILITY.
You agree to indemnify, defend, and hold harmless VPSG and its members, officers, employees, contractors, and advisors from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of VPSG services, your violation of these Terms, your violation of applicable law, or your unauthorized use of third-party data.
These Terms are governed by the laws of the State of Oklahoma, without regard to conflict of law principles. Any dispute not resolved by good-faith negotiation shall be submitted to binding arbitration in Oklahoma County, Oklahoma, under the rules of the American Arbitration Association. Either party may seek injunctive or equitable relief in any court of competent jurisdiction without waiving arbitration rights.
VPSG reserves the right to modify these Terms at any time. We will provide notice of material changes by posting updated Terms on this page with a revised effective date. Continued use of any VPSG service following notice of modification constitutes acceptance of the revised Terms.
VPSG may suspend or terminate your access to any service at any time for violation of these Terms, non-payment, or any other reason with reasonable notice. Upon termination, your license to use VPSG services ceases immediately. Sections 3, 6, 9, 10, 11, and 12 survive termination.
